Terms of Service Agreement

By using Covr and the covr.co.uk web site ("Service"), you are agreeing to be bound to the following terms and conditions ("Terms of Service").

Covr reserves the right to update and change the Terms of Service at it's discretion without notice. Any new features in excess to the current Service shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below may result in immediate termination of your Service account.

Account Terms

Accounts registered by automated methods are not permitted and will be deleted immediately without notice.

You must provide your legal full name, a valid email address, and any other pertinent information requested in order to complete the sign-up process.

You are responsible for maintaining the security of your account and password. Covr cannot and will not be liable for any loss of information or security breaches that result from your failure to comply with this security obligation.

You are hereby considered fully responsible for all content posted and any and all activity that occurs under your account.

You may not use the Service for any illegal activities. You must not, in your use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). Should you engage in any illegal activities through the Service, you agree to hold Covr blameless and not liable for any damages or crimes that may occur as a result. You will also have your account immediately shut down, and all data there-in removed.

You may not use the Service to sell or distribute offensive or illegal content (goods, software, products or material). You agree Covr holds the right to determine what is considered "offensive" as pertaining to this agreement. Offensive and illegal content include: things that are sexually-oriented or pornographic, drugs, gambling, things that promote hate or violence towards others. You will have your account immediately shut down, and all data there-in deleted should you sell or distribute illegal or offensive content.

You understand that the Service uses a the 3rd party payment processor GoCardless (https://gocardless.com) to handle payment transactions by direct debit.

Payment and Refunds Terms

A valid bank account is required for paying accounts.

For accounts that are signed up to a plan that charges a monthly fee, the Service bills on a monthly basis and that fee is non-refundable. Accounts are not prorated. There will be no refunds or credits or upgrade/downgrade refunds.

All fees exclude any taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

Cancellation and Termination

It is your responsibility to ensure that your account has been properly cancelled. An email requesting an account to be cancelled is not considered a cancellation. You can cancel your account at any time from the "Settings" section within the Service.

All of your Content will be immediately removed from the Service should you initiate cancellation. This information can not be recovered once your account is cancelled.

Your cancellation will be effective immediately once initiated. You will not be charged again from that point forward.

Covr has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time. Covr, in it's sole discretion, reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

Covr reserves the right at any time, with or without notice, to modify or discontinue the Service, temporarily or permanently.

Covr reserves the right to change the prices of any and all Services at any time.

Covr shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

The Service itself including the use of the Covr name, logos, domain names and other distinctive brand features are protected by copyright and other laws: ©Covr, All rights reserved. You may not duplicate, copy, or reuse any portion of the code (HTML/CSS/Javascript) or visual design elements.

You retain your rights to any content you submit, post or display on or through the Service. Covr claims no ownership to any content you post to the Service.

General Conditions

Your use of the Service is at your own risk. The service is provided on an "as is" and "as available" basis.

Technical support is available to account holders and is only available via our social channels and email.

You acknowledge and understand that Covr uses third party vendors to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service or Covr.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service.

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Covr employee, member, or officer will result in immediate account termination and potential criminal charges.

Covr does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, or error-free, (iii) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations.

You expressly understand and agree that Covr shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Covr has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

You expressly understand and agree that Covr shall not be liable for any payments and monetary transactions that occur through your use of the Service. You expressly understand and agree that all payments and monetary transactions are handled by the 3rd party payment platforms the Service uses: GoCardless (https://gocardless.com) and PayPal (https://paypal.com). You agree Covr shall not be liable for any issues regrading financial and monetary transactions between you and any other party.

The failure of Covr to aggressively enforce any right or provision of the Terms of Service shall not be construed as a waiver of such right or provision. The Terms of Service outlines the entire agreement between you and Covr and supersedes any prior agreements between you and Covr including prior iterations of the Terms of Service.

Covr is part of Munkee Ltd who is a ‘Data Processor’. We supply websites to small businesses for a small monthly payment.

SECTION 1

What do we do with your information?

When you subscribe to a the Covr system you will be presented with this policy to read which lets you know what information we intend to hold about you, how we hold it and what we intend to use it for.

Contact form

Our contact form collects your IP address, information that you supply in the visible fields and no other information. We use the information that you supply to deal with your enquiry or request and we do not share that information with third parties.

“Try Your Facebook URL” form

The “Try Your Facebook URL” form sends your facebook business page name to google and requests publicly available information. We then store some of that information in order to contact you and evaluate your response to the service. If you do not wish to participate further we need to ensure that you are not contacted again. In that case we keep as little information as we can to identify your business as not interested. None of the information we keep is inherently personal to you but it enable us to identify your business facebook page.

We store:

• IP address
• User agent (what sort of browser you are using)
• The name of the facebook page you requested
• The date and time of your enquiry

We do not sell any information that we collect about you, we may contact you through your published channels to establish your interest.

Summary

• All information held is in online password protected databases or email.
• We hold as little information as possible.
• Munkee Ltd does not not sell or otherwise share the information you place in the system.

Registered Users

As a registered user you will be adding information to the system in order to create your website.

We also hold some information about you as a necessity for doing business with you.

When you log into the system, you do so with a “Login with facebook” button. This sends you to facebook’s own site, establishes your credentials and brings you back to your Covr Admin area.

Information Munkee Ltd holds about your organisation

Payments for the service

Munkee Ltd uses a 3rd party intermediary called GoCardless to collect and process direct debit payments from your organisation for the service.

GoCardless retain certain banking information some of which Munkee Ltd is not able to access.

Munkee Ltd is able to access:

• The name on the account
• The name of the bank where the account is held
• The country where the account is held
• The currency your organisation is billed in
• The last 2 digits of the account number

For the purposes of Munkee Ltd’s financial accounts Munkee Ltd is able to access the status of historical and future payments.

Munkee holds the following information about your organisation

• Organisation name
• Organisation phone number
• Organisation address
• Organisation contact email

On our own servers we hold the following information about your company and the person who is in contact with us.

• Name
• email address ( as used to sign up)
• email address ( as published on your site)
• when you signed up
• the status of your payment
• information to identify your payments on the goCardless service
• telephone number
• address
• your personal facebook id
• the facebook ids of any pages you have admin rights to
• Your instagram id ( if you choose to use it )

Email

If you choose to use email services provided by Munkee, we are able to view your account if you need help and change your password if you require us to.

If you email us for any reason we may keep your email to ensure the service we provide you is as complete as possible.

SECTION 2 - CONSENT

How do you get my consent?

When you provide us with personal information to complete a service, verify your payment details, place an order, arrange for a delivery or return a purchase, we imply that you consent to our collecting it and using it for that specific reason only.

If we ask for your personal information for a secondary reason, like marketing, we will either ask you directly for your expressed consent, or provide you with an opportunity to say no. How do I withdraw my consent?

We may disclose your personal information if we are required by law to do so or if you violate our Terms of Service.

SECTION 5 - THIRD-PARTY SERVICES

In general, the third-party providers used by us will only collect, use and disclose your information to the extent necessary to allow them to perform the services they provide to us.

However, certain third-party service providers, such as payment gateways and other payment transaction processors, have their own privacy policies in respect to the information we are required to provide to them for your purchase-related transactions.

For these providers, we recommend that you read their privacy policies so you can understand the manner in which your personal information will be handled by these providers.

In particular, remember that certain providers may be located in or have facilities that are located in a different jurisdiction than either you or us. So if you elect to proceed with a transaction that involves the services of a third-party service provider, then your information may become subject to the laws of the jurisdiction(s) in which that service provider or its facilities are located.

As an example, if you are located in United Kingdom and your transaction is processed by a payment gateway located in the United States, then your personal information used in completing that transaction may be subject to disclosure under United States legislation, including the Patriot Act.

Once you leave our website or are redirected to a third-party website or application, you are no longer governed by this Privacy Policy or our website’s Terms of Service.

When you click on links on our site, they may direct you away from our site. We are not responsible for the privacy practices of other sites and encourage you to read their privacy statements.

To protect your personal information, we take reasonable precautions and follow industry best practices to make sure it is not inappropriately lost, misused, accessed, disclosed, altered or destroyed.

Cookies

Here is a list of cookies that we use. We’ve listed them here so you can choose if you want to opt-out of cookies or not.

• ci_session, unique token, sessional, used to manage login, stores pertinent data for the logged in user. This cookie enables you to log in securely and is a requirement of the service.

SECTION 7 - AGE OF CONSENT

By using this site, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

SECTION 8 - CHANGES TO THIS PRIVACY POLICY

We reserve the right to modify this privacy policy at any time, so please review it frequently. Changes and clarifications will take effect immediately upon their posting on the website. If we make material changes to this policy, we will notify you here that it has been updated, so that you are aware of what information we collect, how we use it, and under what circumstances, if any, we use and/or disclose it.

If our company is acquired or merged with another company, your information may be transferred to the new owners so that we may continue to sell products to you.

Your rights

Under the Data Protection Act 1998, you have rights as an individual which you can exercise in relation to the information we hold about you.

Access to personal information

Covr tries to be as open as it can be in terms of giving people access to their personal information. Individuals can find out if we hold any personal information by making a ‘subject access request’ under the Data Protection Act 1998. If we do hold information about you we will:

• give you a description of it;
• tell you why we are holding it;
• tell you who it could be disclosed to; and
• let you have a copy of the information in an intelligible form.

To make a request to Covr for any personal information we may hold you need to put the request in writing addressing it to our Information Governance Officer, or writing to the address provided below.

If you agree, we will try to deal with your request informally, for example by providing you with the specific information you need over the telephone.

If we do hold information about you, you can ask us to correct any mistakes by, once again, contacting the Information Governance department.

Disclosure of personal information

In many circumstances we will not disclose personal data without consent. However when we investigate a complaint, for example, we will need to share personal information with the organisation concerned and with other relevant bodies.

• circumstances where we can pass on personal data without consent for example, to prevent and detect crime and to produce anonymised statistics;
• our instructions to staff on how to collect, use and delete personal data; and
